Notice is hereby given that a special meeting of the members of the Co-operative will be held at Cottam United Church. 137 County Rd 34 W, Cottam ON, NOR1BO on the 2nd day of
December 2024 at the hour of 6:00PM for Registration, Meeting at 7:00PM for the following purposes:
To consider and, if thought fit, to pass a resolution of the members approving the amalgamation agreement between Gosfield Communications Co-operative Limited and Quadro Communications Co-operative Inc. The text of the resolution authorizing the amalgamation agreement is attached hereto as Schedule "A".

A copy of the proposed amalgamation agreement between the Gosfield and Quadro, and proposed by-laws of the amalgamated co-operative, can be obtained by the members for review prior to the meeting as follows:

"BE IT RESOLVED THAT:
1. The amalgamation of the Gosfield Communications Co-operative Limited with Quadro Communications Co-operative Inc. be and is hereby approved and adopted.
2. The amalgamation agreement between the Gosfield Communications Co-operative Limited and Quadro Communications Co-operative Inc. be and is hereby approved and adopted.
3. Any one or more of the directors, officers, or General Manager of the Co-operative be and they are hereby authorized to sign the articles of amalgamation and the amalgamation agreement in the name of and on behalf of the Co-operative together with such changes as they may deem necessary and appropriate in the circumstances, the signing thereof to be deemed to be conclusive proof of the Cooperative’s approval therefor.
4. Any one or more of the directors, officers, or General Manager be and they are hereby authorized to sign such further and other documents and to do such further and other acts and things as they may deem necessary and appropriate to give effect to the foregoing, the signing or doing thereof to be deemed to be conclusive proof of the Co-operative’s approval therefor.
